PremierSpirit Rewards PROMOTION ("Promotion") TERMS AND CONDITIONS

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility. The Promotion is open to legal residents of the 50 United States and District of Columbia, who are at least eighteen (18) years of age or older, or legal residents of Canada who are of the age of majority in their province of residence (excluding residents of Quebec), and who are currently licensed pilots, schedulers or dispatchers, and who are Pilots+ Rewards Program cardholders as of the date of entry. PROMOTION IS NOT OPEN TO THE GENERAL PUBLIC. The program is administered by Tic Toc Inc., Suite 1900, 1999 Bryan Street, Dallas, TX 75201 ("Administrator"). The following individuals are NOT eligible to participate in the Promotion: (a) employees of Administrator; (b) employees of Exxon Mobil Corporation ("Sponsor"); (c) employees of Sponsor’s affiliates, distributors, dealers, subsidiaries, advertising and promotion agencies; (d) employees of any other person or entity involved in the development, administration, or execution of the Promotion; and (e) the immediate family members (parent, child, sibling and/or spouse of each) and/or those living in the same household as persons set forth in items (a) through (d) above. The Promotion is void where prohibited by law. Participation in the Promotion constitutes each participant's full and unconditional agreement to these Terms and Conditions, and representation that participant meets the eligibility requirements set out in these Terms and Conditions. Those who do not comply with these Terms and Conditions may be prohibited from participating in the Program.

2. Registration In Promotion and Privacy Policy. In order to participate in the Promotion, participants must enter on-line at www.premierspirit.com (the "Web Site") and expressly accept these Terms and Conditions. 3. How to Earn Pilots+ Rewards Bonus Points and Enter the Sweepstakes. 1) After making fuel or service purchases (“Qualifying Purchase”) at a participating ExxonMobil Aviation FBO locations, visit the Web Site between July 1, 2009 at 12:00:01 a.m. ET, and September 30, 2009 at 11:59:59 p.m. ET (“Promotion Period”), and complete the information requested: name, mailing address, phone number, Pilots+ rewards number or issued password (for participants who are schedulers or dispatchers and a short feedback survey on your FBO experiences. With your Qualifying Purchase, you will also receive 3,500 Pilots+ Rewards Points. Upon completion of your registration and/or receipt of your completed mail-in survey where you provide feedback, Sponsor will attempt to post 3,500 Pilots+ Rewards Points to your account within 90 days. Maximum points to be limited to 35,000 Pilots+ Rewards points per cardholder during the Promotion Period. 2) To enter without making a purchase, hand print your complete name, mailing address, phone number, Pilots+ rewards number or issued password on a 3” x 5” card to: Promotion Headquarters, Attn: PremierSpirit Program, P.O. Box 421559, Houston, TX 77242-1559 (“Mail-In Entry”). Mail-In Entries will not receive any Pilots+ Rewards Points. Mail-In Entries must be postmarked by September 30, 2009 and received by October 7, 2009. Upon receipt of a Mail-In Entry, Sponsor may send entrant one (1) survey for entrant to provide feedback. Completion of the survey is optional, and will not increase entrant’s chance of winning. No photocopies or mechanically reproduced requests will be accepted. Sponsor assumes no liability for lost, late, stolen, illegible, incomplete, misdirected, mutilated or postage-due mail or requests. For Mail-In Entry, limit one (1) request per outer postmarked envelope. Upon receipt of your feedback or Mail-In Entry, you will be automatically entered into the monthly Promotion. Limit twenty (20) entries per participant, per Month, regardless of your method of entry.

4. Time Period. Each drawing, as set forth in Paragraph 6, will occur within seven (7) days of the last day of each Month, with the first drawing starting on August 7, 2009. To be eligible for any monthly drawing, your entry must be received (if via purchase) by the last day of the applicable Month during the Promotion Period and (if via Mail-In Entry) received no later than seven (7) days after the last day of the applicable Month during the Promotion Period. Non-winning entries will not be rolled over into subsequent monthly drawings. For the purposes of this Promotion, a Month shall start on the first day of a calendar month and end on the last day of a calendar month, during the Promotion Period.

5. Feedback. . BY SUBMITTING FEEDBACK, YOU ACKNOWLEDGE THAT YOUR FEEDBACK MAY BE POSTED ON SPONSOR’S WEBSITE, IN SPONSOR’S DISCRETION. Submission of feedback grants Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, publicly perform the feedback in any way, in any and all media, without limitation, and without consideration.

Feedback cannot be sexually explicit or suggestive, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, or contain nudity;
Feedback cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message;
Feedback cannot be obscene or offensive, endorse any form of hate or hate group;
Feedback cannot defame, misrepresent or contain disparaging remarks about Sponsor or its products, or other people, products or companies;
Feedback cannot contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
Feedback cannot contain copyrighted materials owned by others without permission;
Feedback cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission;
Feedback cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and
Feedback cannot depict, and cannot itself, be in violation of any law.

By submitting feedback you warrant and represent that it: (a) is your original work, (b) has not been previously published, (c) has not received previous awards, (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; and (e) that publication of the feedback via various media including Web posting, will not infringe on the rights of any third party rights. Any such entrant will indemnify and hold harmless, Sponsor and Administrator from any claims to the contrary.

By submitting feedback, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation that Sponsor is free to disclose or otherwise disclose the ideas contained in the feedback on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your feedback, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you.

6. Sweepstakes Winner Selection & Prize. During each Month of the Promotion Period, one (1) grand prize winner and one-hundred (100) first prize winners will be randomly selected from among all entries in a random drawing to be conducted, under the supervision of Sponsor. The odds of winning depend on the number of eligible entries received corresponding to the applicable monthly drawing. Grand Prize: The grand prize winner will receive one (1) check for Five Thousand U.S. Dollars ($5,000), and round-trip, coach class air transportation for two (2) from the airport nearest winner's home to Orlando, FL; one (1) double occupancy standard hotel room for two (2) nights; and two (2) tickets to the INBAA 62nd Annual Meeting and Convention, Oct 20-22. Approximate retail value (“ARV”) up to $10,000USD/$12,105CDN, depending upon winner's point of travel origin and airfare fluctuations at the time of taking the trip. Selection of airline, and hotel are solely within Sponsor’s discretion. All other expenses not specifically mentioned herein, including all ground transportation, are solely the winner’s responsibility. All travel must be taken on October 19th and October 21st, and winner must attend a check presentation/media event currently scheduled for October 20, 2009; no alternative travel dates are available or prize will be forfeited and may be awarded to an alternate. All travel subject to availability and restrictions. Winner and travel guest must travel on same itinerary. If winner is a minor in his/her state of residence, the travel guest must be winner’s parent or legal guardian. A minor may accompany winner as a travel guest only if the winner is the minor’s parent or legal guardian. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay, the NBAA, and all other prize-related events, if any) by minor’s parent or legal guardian. Travel guests must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid passport) required for travel to the Orlando, FL. First Prize: Each first prize winner will receive one (1) die-cast plane. ARV $30.00USD/$36CDN.

7. General Conditions. All prize recipients are subject to verification. Prize winner will be notified by the telephone number, mailing address and/or email address that the winner provided on his or her feedback or Mail-In Entry. Upon notification, if prize recipient is a Canadian resident, the participant must, unaided, correctly answer a time-limited mathematical skill-testing question prior to delivery of prize. In the event that the participant is unable to correctly answer the skill-testing question, the prize shall be forfeited, and the Sponsor shall be fully and completely released and discharged from any liability or responsibility in this regard. Sponsor is not responsible for lost, late, mutilated or misdirected mail. If prize notification letter, or any prize is returned as undeliverable, if recipient or prize winne cannot be verified, or if a recipient is otherwise unable to accept prize, prize will be forfeited. The winner will be required to provide valid identification and complete and sign the releases that Sponsor deems necessary, including an Affidavit of Eligibility, a Liability Release, and a Publicity Release. All documents must be received by Sponsor within fourteen (14) days of notification. Failure to comply with these requirements in a timely manner will result in disqualification. If prize is won by an eligible minor, the prize will be awarded to a parent or legal guardian who will be required to sign all documentation. Limit one prize per person/email/Pilots+ Rewards account. Taxes are the sole responsibility of the recipient. Canadian residents may be subject to withholding taxes and Canadian residents are responsible for the reporting and payment of any income tax. No prize substitution, except by Sponsor, which reserves the right to substitute a prize of equal or greater value in its sole discretion if any prize is unavailable. Unclaimed prizes will not be awarded.

8. Use of Pilots+ Rewards Points. Use of Pilots+ Rewards Points is subject to the Pilots+ Rewards Program terms and conditions, found at www.pilotsplusrewards.com. Sponsor will attempt to credit its member's accounts with Pilots+ Rewards Points within 90 days. Sponsor reserves the right to invalidate Pilots+ Rewards Points from a member's account if it determines that such Pilots+ Rewards Points were improperly credited to such member's account or obtained fraudulently. Sponsor reserves the right to require proof of accrual of Pilots+ Rewards Points and Sponsor reserves the right to delay the processing or redemption of any Pilots+ Rewards Points without notice, in order to assure compliance with the Terms and Conditions outlined herein. Pilots+ Rewards Points do not constitute property, do not entitle a member a vested right or interest and have no cash value. As such, Pilots+ Rewards Points are not redeemable for cash, transferable or assignable for any reason. The sale of Pilots+ Rewards Points is strictly prohibited.

9. Sponsor reserves the right to suspend or discontinue the eligibility of any person who uses, or, in the case of suspension, is suspected of using, the Promotion in a manner inconsistent with these Terms and Conditions or any federal or state/provincial laws, statutes or ordinances or the Pilots+ Rewards Program terms and conditions. In addition to suspension or discontinuance of the Promotion eligibility, Sponsor shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

10. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any of these terms and conditions shall not constitute a waiver of that, or any other, provision.

11. Administrator, Sponsor, and their respective parent companies, affiliates, subsidiaries, and promotional and advertising agencies are not responsible for any printing or computer error, omission, interruption, irregularity, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alteration of Promotion materials or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of Promotion information due to technical problems or traffic congestion on the internet, at any web site or any combination thereof. In the event that online access is temporarily corrupted and suspended, notice of such will be provided at the Website and Participants will be advised as to when activity may be resumed.

12. As a condition of entering, participants (or their parent or legal guardian if an eligible minor) agree (and agree to confirm in writing): (a) to release Administrator, Sponsor and their respective parent companies, subsidiaries, affiliates, agents, promotion and advertising agencies, and each of their respective officers, directors, employees, shareholders, and successors, assigns, and service providers ("Promotional Parties"), from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, and/or use or misuse of any prize, (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering the operation of the Promotion or to be acting in violation of these Terms and Conditions. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Promotion, or any portion thereof, in its entirety should virus, bug, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond Sponsor's control corrupt the administration, security, fairness, integrity or proper play. No more than the advertised number of prizes will be awarded. No liability or responsibility is assumed by Releasees resulting from user's participation in or attempt to participate in the Promotion or download any information in connection with participating in the Promotion. No responsibility or liability is assumed by Releases for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Promotion; hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Promotion, or loss, miscount, misdirection, inaccessibility or unavailability of an Account used in connection with the Promotion. Sponsor is not responsible for any typographical errors in these Terms and Conditions, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is provided at user’s own risk. Sponsor and the Administrator are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Promotion, use of the Web Site or the download of any information from the Web Site.

13. As a condition of participating in this Promotion, Participant agrees that, any and all disputes, claims and causes of action arising out of, or connected with, the Promotion shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Commonwealth of Virginia, USA. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and conditions, entrant’s rights and obligations, or the rights and obligations of Administrator or Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Virginia, without giving effect to any choice of law or conflict of law rules.

14. For prize winner’s names, mail a self-addressed, stamped envelope to be postmarked by September 30, 2009 and received by October 7, 2009 to: Promotion Headquarters, Attn: PremierSpirit Program, P.O. Box 421559, Houston, TX 77242-1559. Canadian residents may omit return postage.
